Verizon has registered with U.S. market regulators for its $7.8 billion MCI acquisition proposal.

Verizon registered over 132 million common shares at $25.13 each with the Securities and Exchange Commission.

According to a Reuters article,

“MCI on Monday said it had no plan to amend a poison pill that helps thwart unwanted takeovers. It also affirmed its aim to get the best deal possible for all shareholders.

Verizon said on Saturday it had agreed to buy the 13 percent stake in MCI held by Mexican telecommunications magnate Carlos Slim Helu for $1.1 billion in cash and the possibility of additional Verizon shares.”

The offer was valued at $7.6 billion before the Carlos Slim Helu transaction.
