eBay is in the process of acquiring all outstanding shares of comparison-shopping site for $21 per share. This will come out to about $620 million.

As of May 31,’s cash, cash equivalents, and marketable securities totaled about $140 million. eBay’s sellers will have a new sales channel and access to a new set of buyers as a result of this acquisition.

eBay says that it expects the acquisition to be immaterial to its full-year 2005 pro forma diluted earnings per share, and dilutive to its 2005 GAAP diluted earnings per share due to incremental charges for stock-based compensation and the amortization of acquired intangible assets.

The acquisition is expected to reach completion in the third quarter of this year, but it is still subject to regulatory approval as well as the approval of’s shareholders.
